TSS Maps for Power BI — Microsoft AppSource Distribution

The Solution Stack Inc.  |  Version 1.1  |  Effective September 1, 2026

1. Agreement and acceptance

1.1 This End User License Agreement (“Agreement”) is between The Solution Stack Inc., an Alberta, Canada corporation (“Publisher”, “we”, “us”), and the entity or person that downloads, installs, imports, or uses TSS Maps for Power BI (the “Software”) (“Customer”, “you”).

1.2 By downloading, installing, importing, or using the Software, Customer accepts this Agreement. If Customer is acquiring the Software on behalf of an organization, the individual accepting represents that they have authority to bind that organization, and “Customer” means that organization. If Customer does not accept this Agreement, do not download, install, import, or use the Software.

1.3 This Agreement is offered on a non-negotiable basis to all persons who obtain the Software through Microsoft AppSource.

2. Relationship to other agreements

If Customer and Publisher have entered into a separate written agreement signed by both parties that covers the Software, that agreement governs Customer’s use of the Software in place of this Agreement for so long as it remains in effect. In the absence of such an agreement, this Agreement applies in full.

3. Definitions

3.1 “Software” means the TSS Maps for Power BI custom visual, the TSS Token Broker credential-exchange service in Publisher-hosted or Customer-hosted form, associated documentation, and any updates or modifications Publisher makes available.

3.2 “Customer Data” means data Customer or its users process with the Software, including report data and map content.

3.3 “Credential Record” means the record the TSS Token Broker stores for a user who links an ArcGIS account, which enables that user to obtain ArcGIS session tokens without signing in again.

3.4 “Fees” means amounts actually paid by Customer to Publisher for the Software.

4. License grant

4.1 Paid use. Subject to this Agreement and payment of applicable Fees, Publisher grants Customer a non-exclusive, non-transferable, non-sublicensable, revocable license, during the applicable subscription term, to install and use the Software within Customer’s Microsoft Power BI environment for Customer’s internal business purposes, for the number of users or the capacity purchased.

4.2 Free and evaluation use. Publisher may make the Software, or features of it, available at no charge for evaluation or limited use. Free and evaluation use is provided AS IS, without warranty, indemnity, support, service level, or availability commitment of any kind. Publisher may modify, suspend, limit, or terminate free or evaluation use, in whole or in part, at any time, for any reason or for no reason, without notice and without liability to Customer or any third party.

4.3 Reservation of rights. All rights not expressly granted in this Agreement are reserved to Publisher and its licensors.

5. Restrictions

Customer will not, and will not permit any other person to: (a) reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this limitation; (b) rent, lease, lend, resell, sublicense, or provide the Software to third parties as a service bureau or hosting offering; (c) remove or alter any proprietary notices; (d) use the Software to develop a competing product or service; (e) circumvent or attempt to circumvent any technical limitation or licensing mechanism; (f) use the Software in violation of applicable law; or (g) probe, scan, or test the vulnerability of any Publisher-hosted service, or attempt to gain unauthorized access to it, except with Publisher’s prior written consent.

6. Third-party platforms and services

6.1 The Software operates within Microsoft Power BI and interoperates with Esri ArcGIS services. Customer’s use of those platforms is governed solely by Customer’s own agreements with Microsoft and Esri. Publisher is not a party to those agreements and is not responsible for those platforms or their operators.

6.2 No availability commitment. Publisher does not warrant, and has no obligation whatsoever with respect to, the continued availability, functionality, behaviour, or supportability of any third-party platform, service, application programming interface, privilege, consent, or administrative setting on which the Software depends. This includes, without limitation: the Microsoft Entra ID authentication privilege available to Power BI custom visuals; any tenant-level or organizational administrative setting that enables or disables that privilege; any consent, registration, or preauthorization requirement in Customer’s or any other tenant; the Microsoft AppSource listing for the Software; and any ArcGIS service, application programming interface, credential policy, or token lifetime.

6.3 Publisher may discontinue, withdraw, or decline to maintain the Microsoft AppSource listing for the Software at any time. Publisher has no liability arising from any change to, restriction on, deprecation of, suspension of, or withdrawal of any third-party platform, service, application programming interface, privilege, setting, or listing, or from Customer’s or its administrators’ configuration of any of them.

6.4 Updates to the Software may be delivered automatically through Microsoft AppSource. Publisher does not control the timing, delivery, or availability of such updates.

7. Customer Data, Credential Records, and privacy

7.1 As between the parties, Customer owns Customer Data.

7.2 Publisher’s handling of Credential Records is described in the TSS Maps Privacy Policy at [PRIVACY POLICY URL]. The Privacy Policy is provided for informational purposes only. It is not incorporated into this Agreement, does not form part of it, and does not create any representation, warranty, condition, covenant, or other contractual obligation beyond those expressly set out in this Agreement.

7.3 Where the TSS Token Broker is deployed on Customer’s own infrastructure, Customer operates that deployment. Customer is solely responsible for its configuration, security, availability, and the records it stores. Publisher has no access to those records and no responsibility or liability in respect of them.

7.4 Customer is solely responsible for ensuring that its use of the Software, and its processing of Customer Data and personal information through the Software, complies with applicable law and with Customer’s own obligations to its users, personnel, and customers.

8. Intellectual property

The Software is licensed, not sold. Publisher and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. Any feedback, suggestions, or ideas Customer provides regarding the Software may be used by Publisher without restriction, attribution, compensation, or obligation of any kind.

9. Indemnification by Customer

9.1 Customer will defend Publisher and its directors, officers, employees, and agents against any third-party claim arising from or related to (a) Customer Data; (b) Customer’s use of the Software in violation of this Agreement; (c) Customer’s violation of applicable law in its use of the Software; or (d) Customer’s operation of a Customer-hosted TSS Token Broker deployment. Customer will pay damages finally awarded against Publisher, or agreed in settlement, in respect of such a claim, together with reasonable legal fees and costs.

9.2 Publisher will notify Customer of any such claim, tender control of the defence and settlement to Customer, and provide reasonable cooperation at Customer’s expense. A settlement that imposes a non-monetary obligation or admission on Publisher requires Publisher’s prior written consent.

9.3 No indemnity by Publisher. Publisher provides no indemnity under this Agreement. Any indemnification by Publisher is available only under a separate written agreement signed by both parties.

10. Disclaimer of warranties

10.1 THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PUBLISHER DISCLAIMS ALL WARRANTIES, CONDITIONS, AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, COLLATERAL, OR OTHERWISE, INCLUDING ANY WARRANTY OR CONDITION OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, ACCURACY, TITLE, AND NON-INFRINGEMENT.

10.2 PUBLISHER DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT ANY DATA WILL BE PRESERVED OR ACCURATE, OR THAT THE SOFTWARE WILL OPERATE IN COMBINATION WITH ANY PARTICULAR PLATFORM, CONFIGURATION, ADMINISTRATIVE SETTING, OR THIRD-PARTY SERVICE.

10.3 NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM PUBLISHER OR THROUGH THE SOFTWARE, ANY LISTING, OR ANY DOCUMENTATION CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

10.4 Some jurisdictions do not allow the exclusion of certain warranties or conditions. In those jurisdictions, the exclusions above apply to the maximum extent permitted by law.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PUBLISHER’S MAXIMUM AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, IS LIMITED TO THE GREATER OF (A) THE FEES ACTUALLY PAID BY CUSTOMER TO PUBLISHER FOR THE SOFTWARE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

11.2 Aggregation. The limit in Section 11.1 is aggregate across all claims, all causes of action, all users of Customer, and the entire period during which Customer uses the Software. Multiple claims do not enlarge it.

11.3 Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PUBLISHER IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL, LOSS OR CORRUPTION OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE PRODUCTS OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

11.4 Exclusions. Nothing in this Agreement limits or excludes Customer’s payment obligations, or any liability that cannot be limited or excluded under applicable law.

11.5 Basis of the bargain. Customer acknowledges that the disclaimers and limitations in Sections 10 and 11 reflect a reasonable allocation of risk between the parties, form an essential basis of the bargain, and that Publisher would not make the Software available on these terms without them.

12. Support

Publisher has no obligation under this Agreement to provide support, maintenance, updates, upgrades, error correction, or professional services. Where Publisher provides support or professional services, it does so only under a separate written agreement, separate from this agreement – please contact info@thesolutionstack.com for support options.

13.2 Termination by Customer. Customer may terminate at any time by ceasing all use of the Software and removing it from its reports and environments.

13.3 Termination by Publisher. Publisher may terminate this Agreement or suspend Customer’s access immediately on notice if Customer breaches this Agreement. Publisher may additionally terminate free or evaluation use at any time in accordance with Section 4.2.

13.4 Effect of termination. On termination, all licenses granted end immediately. Customer will cease all use of the Software and remove it from its reports and environments. For Publisher-hosted TSS Token Broker deployments, Credential Records for Customer’s users will be deleted within thirty (30) days of termination.

13.5 Survival. Sections 2, 3, 5, 6, 7 through 11, 14, and 15 survive termination, together with any other provision that by its nature should survive.

14. Claims and disputes

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. General

15.1 Entire agreement and no reliance. Subject to Section 2, this Agreement is the entire agreement between the parties regarding the Software and supersedes all prior or contemporaneous communications, listings, marketing materials, and understandings. Customer acknowledges that it has not relied on any representation, warranty, or statement not expressly set out in this Agreement.

15.2 Changes to this Agreement. Publisher may update this Agreement from time to time by posting a revised version through Microsoft AppSource or at [EULA URL]. Continued use of the Software after a revised version takes effect constitutes acceptance of it. If Customer does not accept a revised version, Customer’s sole remedy is to cease use of the Software.

15.3 No waiver. A failure or delay in exercising a right is not a waiver of it, and no waiver arises by course of conduct.

15.4 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remainder of this Agreement continues in effect.

15.5 Assignment. Customer may not assign this Agreement without Publisher’s prior written consent, except to a successor in a merger, reorganization, or sale of substantially all assets. Publisher may assign freely. Any purported assignment in breach of this Section is void.
